Suno Spark Program Fine Print

Welcome to the Suno Spark Program! We are excited to work with you and wanted to outline the fine print between You and Suno Inc., a Delaware corporation ("Suno") (the "Fine Print" or the "Fine Print"), which may be updated from time to time. Please read the Fine Print, the Terms of Service, and the Privacy Policy (collectively, the "Terms") carefully because they apply to your participation in the Spark Program and are binding legal agreements. If you cannot agree to the Terms, you shall not participate in the Spark Program.

1. Your Responsibilities.

You will create songs and videos, which may sample or feature music You have previously created (collectively "Content"), and will post such Content on Your social media channels, promoting Suno and/or its products and services (collectively, the "Services"), as set forth in the Fine Print, including as specifically laid out in the Details, which are incorporated herein. By creating, uploading, and posting Content, You agree that You own or You have obtained any and all required permissions and rights in and to the Content, including, but not limited to authorize: (1) Your participation in the Spark program and provision of the Services; (2) Your ability to release, distribute, post or display Content via Suno even if You have previously released the sampled or featured music or later release the Content via third party distributors; and (3) collaborations, remixes, or derivative works by third parties (including Suno users). Content shall be submitted to Suno for review and written approval prior to beginning song and/or video recordings. Suno can reasonably ask You to remove, re-shoot and/or modify all or any portion of the Content at any time, and You agree to comply with any such requests.

2. Compensation.

Subject to Your compliance with the Fine Print, Suno or an agent thereof will pay You fees for the Services as set forth in the Details. You agree Suno and our payment provider(s) may share Your information as required, to be subject to the payment provider's terms and fees (if any), and to receive communications including via text, phone call, and email as needed to facilitate payment. You will be responsible for all associated taxes.

3. Content and NIL.

From the date the Content is posted, You grant Suno permission to use the Content and your name and likeness for marketing and promotional purposes during the Term and thereafter on Suno owned or operated channels, press and other digital media, including in derivative works, as explained in the Details.

4. Suno Trademark License.

Subject to the terms of the Fine Print, Suno hereby grants You limited permission, during the Term, to use Suno's trademarks (the "Marks"), solely in connection with performing the Services. You agree that any use of the Marks: (a) will comply with Suno's trademark guidelines, which may be provided by Suno to You from time to time, and (b) will solely be for the benefit of Suno. You agree not to: (i) attack the Marks or assist anyone in attacking the Marks, or (ii) make any application to register the Marks (including as part of a domain name) or use any confusingly similar trademark, service mark, trade name, iconography, or derivation thereof, during the Term and thereafter. If Suno requests at any time that You modify any use of the Marks or remove the Marks from any Content, You will promptly make such modifications or remove such Marks, as requested.

5. FTC Disclosures.

All Content must contain a clear and conspicuous disclosure of the relationship between You and Suno (e.g., #SunoPartner, or as Suno may otherwise direct). You agree that the Content will comply with all terms and conditions and/or posting guidelines of the applicable social media channel(s) that host the Content. Failure to comply with this Section shall constitute a material breach of the Fine Print.

6. Beta Terms.

During the Term, in addition to the publicly available Suno products you are able to access using your Suno account ("Suno Services"), we may provide you access to certain confidential features that are not yet public ("Beta Products") for your confidential, personal, and non-commercial use only. We reserve the right to rescind access to any Beta Products at any time, for any reason.

7. Representations and Warranties; Indemnification.

You and Suno each can enter into the Fine Print. You agree: (a) to perform the Services in a professional manner, in accordance with any terms set forth herein; (b) any Content is Your original work, or an original work in conjunction with Your collaborator, and use of it will not violate any third party rights; (c) You are unsigned and own or control all rights in the Content, including the master recording, the musical composition, and all publishing rights therein, that are necessary to release the Content through the Spark Program and grant Suno the permission to use the Content as requested in Section 3; (d) You will comply with all applicable laws; (e) no other agreement or obligation would preclude You from complying with the provisions hereof, and You will not enter into a conflicting agreement during the Term; (f) You are 18 years of age or older or the age of majority in Your place of residence and competent to sign the Fine Print; (g) You act like a good human; and (h) You agree not to interfere with or thwart any systems or policies, violate any law or regulation, impersonate any person or entity, engage in any criminal activity, or use any robots, data mining, scraping, reverse engineering or similar data inflation, deflation, gathering or extraction methods, to artificially increase or decrease followers, song plays, or remixes or engage in any other activity that would result in unjust enrichment or be considered fraudulent behavior. You agree to indemnify and hold Suno, its affiliates and their respective directors, officers, agents and employees harmless from and against all claims (including intellectual property claims), demands, losses, damages and judgments, including court costs and attorneys' fees, arising out of or based upon Your breach of the Fine Print, gross negligence or willful misconduct.

8. Exclusivity.

You will not work in a paid or formal capacity with any other AI music company to promote or publicly release music for 60 days after final Content post live date, including, but not limited to working with: Udio, Donna, Mureka, Riffusion, Produce, SOUNDRAW, Aiva, ElevenLabs, Soundful, and Amper.

9. Confidentiality.

You will not tell anyone any confidential or proprietary information about Suno's business, products, Beta Products, campaigns, relationships or financial affairs that Suno has not released to the general public ("Confidential Information"), including the terms of the Fine Print. You will use reasonable measures to prevent the unauthorized disclosure or use of any and all Confidential Information. You will not use or permit any Confidential Information to be used for any purpose other than to perform obligations under the Fine Print.

10. Term & Termination.

The Fine Print will commence on the date that the last party signs it and continue until terminated in accordance with its terms (the "Term"). You may terminate the Fine Print upon thirty (30) days notice. In addition, Suno may terminate the Fine Print immediately if You do not meet deliverable requirements set forth in the Details (after being provided notice), You do not have rights to publish music or videos with us, if You engage in conduct that could harm Suno's brand or reputation or otherwise violate the Terms. Upon any termination of the Fine Print, all rights and duties of the parties will cease, except that: (a) Suno will pay You for any deliverables published with approval prior to termination, (b) you will return any upfront payments Suno provided You prior to termination; and (c) the last sentence of Section 1, Section 3, Section 4 (excluding the first sentence thereof) and Sections 6 through 10 (inclusive) will survive.

11. Limitation of Liability.

Except for breaches of Sections 6, 7, 8 and 11 of the Fine Print, under no circumstances will either party be liable for any additional damages. The total liability of the parties shall be capped at an amount equivalent to the fees Suno paid You under the Fine Print during the twelve (12) months preceding the claim.

12. Good Vibes Only.

During the Term and thereafter, You will not at any time make any statements or representations, either directly or indirectly, whether orally or in writing, that disparage Spark or its participants. This is about maintaining mutual respect, and does not prevent you from speaking honestly about your experience in the program. Violation of this Section will be considered a material breach and grounds for termination.

13. Life Happens.

Neither Party shall be liable for any delays resulting from circumstance or causes beyond their reasonable control, including without limitation, fire, act of god, epidemic or pandemic, labor dispute, war or other violence, any changes in law or requirements of any governmental agency or authority.

14. Disclaimer.

Suno reserves the right to choose Spark Program participants at its own discretion. Suno does not guarantee that it will select a specific number of artists, or even that any artists will be selected, to participate in the program, Suno may choose participants outside of the linked application process and/or through alternative submission methods. The Spark Program is void where prohibited, including, but not limited to: Afghanistan, Armenia, Belarus, China, Crimea, Cuba, Georgia, Iran, Iraq, Kazakhstan, Liberia, Libya, Montenegro, Morocco, Myanmar, North Korea, Oman, Pakistan, Qatar, Russia, Serbia, Somalia, Sudan, Syria, Taiwan, Turkey, Ukraine, Venezuela, Vietnam, Yemen, and Zimbabwe.

15. Miscellaneous.

You are an independent contractor and no employee/employer, agent, partner, or joint venture relationship is established between You and Suno by the Fine Print. You will accept any reasonable directions issued by Suno pertaining to the goals to be attained and the results to be achieved by You, but You shall be solely responsible for the manner and hours in which the services are performed under the Fine Print. The Fine Print does not create any obligation for Suno to enter into any further business relationship with You. The Fine Print shall survive the execution and delivery hereof and shall be binding on You, Your legal representatives, heirs and assigns. No one can take Your place so You cannot assign any rights or obligations under the Fine Print to anyone else without the prior written consent of Suno. Suno may fully assign and transfer the Fine Print in whole or in part. If any part of the Fine Print is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severed from the rest of the Fine Print and shall not affect the validity and enforceability of any remaining provisions. The Fine Print is separate and apart from any app store provider's terms, is between You and Suno only, and the app store provider is not a party. The Fine Print contains the entire understanding between Suno and You with respect to the subject matter hereof and may not be changed or waived except by a writing signed by both parties, and shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any action to enforce the Fine Print shall be brought exclusively in the state and federal courts located within the Commonwealth of Massachusetts, and the parties irrevocably submit to the jurisdiction of such courts.

By checking the box on the application stating You agree to the terms, the parties hereto have executed the Fine Print, which shall be effective as of the date of agreement.
